TnC for Web and Apps Development

These legally binding terms outline the scope of work, responsibilities of each party, payment terms, intellectual property rights, confidentiality clauses, termination conditions, and other crucial aspects of the Web and Apps Development services being offered and utilized.

1. Agreement

By engaging PAGEFIST for web or application development services, you ("Client") agree to be bound by these Terms & Conditions. This agreement constitutes the entire understanding between the Client and PAGEFIST ("Developer" or "we").

2. Scope of Work

The scope of the development project will be outlined in a separate proposal or agreement. Above mentioned pages, database structure and technologies may vary as per client’s or developer requirement at the time of development, but the original functionality will remain the same.

3. Development Timeline

Development duration is estimated as per the current project discussion with the client. This timeline is an estimate and is subject to change. Development duration may extend if required resources are not provided by the client within a certain timeframe.

4. Project Costs and Payment

The total development cost will be specified in the project proposal or agreement. Development cost may vary if clients ask for changes or any major module addition.

A minimum 50% upfront payment is required to begin working on the project. The remaining balance will be due upon completion and handover of the project, unless otherwise specified in the project agreement.

After the completion of development and handover to the client, if any new requirement is introduced by the client, it will be charged separately.

All payments shall be made in the currency specified in the project agreement.

5. Client Responsibilities

All the content (text, image, video, or any media file) shall be provided/uploaded by the client. The Client is responsible for the accuracy and legality of all provided content.

The Client shall provide PAGEFIST with necessary access, information, and resources required for the completion of the project in a timely manner.

6. Third-Party Costs

Third-party plugins, APIs, modules, and licenses will be borne by the Clientele. PAGEFIST will inform the Client of any necessary third-party costs that may arise during the development process.

7. Intellectual Property

Upon full payment, the Client will own the final developed website or application, excluding any third-party components or PAGEFIST's proprietary code and tools. PAGEFIST retains the right to showcase the completed project in its portfolio.

8. Warranty and Support

PAGEFIST warrants that the developed website or application will substantially conform to the agreed-upon specifications for a period of [Specify Warranty Period, e.g., 30 days] from the date of handover. This warranty does not cover issues arising from client modifications, third-party software, or misuse.

Any ongoing support or maintenance services will be subject to a separate agreement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, PAGEFIST shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the development services or these Terms & Conditions.  

10. Termination

Either party may terminate this agreement upon written notice if the other party breaches a material provision of these Terms & Conditions and fails to cure such breach within [Specify Notice Period, e.g., 30 days] of receiving written notice.

Upon termination by the Client without cause, the Client shall pay PAGEFIST for all work completed up to the date of termination.

11. Governing Law and Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts in [Specify Jurisdiction, e.g., Chhattisgarh].  

12. Amendments

PAGEFIST reserves the right to modify these Terms & Conditions at any time. Any changes will be posted on our website or otherwise communicated to the Client. Continued engagement in our services after such changes constitutes acceptance of the modified Terms & Conditions.

13. Entire Agreement

These Terms & Conditions, together with any project proposal or agreement, constitute the entire agreement between the Client and PAGEFIST and supersede all prior or contemporaneous communications and proposals, whether oral or written.

By engaging PAGEFIST for digital marketing services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
